Thank you for visiting our website www.hedgium.in and for downloading our mobile application Hedgium ("Application"). The website, application or any other computer Platform are hereinafter collectively referred to as the "Platform" or "Website". The Platforms are Internet based portals owned and operated by Hedgium LLP ("Company"), a limited liability partnership incorporated under the laws of India, having its registered office at Haware City, Thane; Powai, Mumbai; Seawoods, Navi Mumbai, India.

The Company is a research analyst registered with Securities and Exchange Board of India ("SEBI") under registration no. INH000025258.

This page (read in conjunction with our Privacy Policy) details the terms and conditions on which Hedgium LLP and its affiliates ("Company", "We", "Us", "Our") provide their services ("Services") on the Platforms ("Terms").

These Terms become effective on any person accessing or using any of the Platforms or availing the Services offered by the Company ("User"). For these Terms, the term ("you") refers to the User or visitor of the Platforms.

Both parties agree to undertake online conciliation and/or online arbitration by participating in the ODR Portal and/or undertaking dispute resolution in the manner specified in the SEBI circular no. SEBI/HO/OIAE/OIAE_IAD-1/P/CIR/2023/131 dated July 31, 2023, on "Online Resolution of Disputes in the Indian Securities Market".

1. Acceptance of Terms

The Services of the Company can be availed by the User only by accepting the Terms. These Terms constitute a legally binding and enforceable agreement between you and the Company and your use of the Platforms signifies your irrevocable and unconditional acceptance of the Terms.

2. Registration and Account Information

To access the Platform, you need to register on the Platform and open an account by completing the registration process. Each registration is for a single individual user only. You agree that any information you give to the Company will always be accurate, correct and up to date.

You shall not disclose your password or account information ("Access Credentials") to any person. You shall notify the Company immediately of any unauthorized use of your account or any other breach of security. The Company will not be liable for any unauthorised use of your account and for any loss that you may incur as a result of such unauthorised use. However, you shall continue to be liable to indemnify the Company for any losses incurred by it either directly or indirectly as a result of the unauthorised use of your account.

3. Services

  1. The Company shall provide Services as provided by a SEBI registered research analyst, including but not restricted to information or views on investments or markets such as making buy/sell/hold recommendations in equity and derivative markets, investment analysis or offering an opinion on a public offer with respect to securities that are listed or to be listed in a stock exchange or with respect to any other entities (collectively referred to as Publication/(s)), to the extent permitted by the relevant laws and regulations. Publication/(s) may use modelling methodologies and statistical techniques, which we assume you are already familiar with.
  2. The User has subscribed to the Website to receive the Services and agree to receive research reports, research analysis, research recommendation or an opinion concerning securities or public offer, providing a basis for investment decision, in the form of: (1) SMS alerts on registered mobile number; (2) Periodic emails on the registered e-mail id; (3) Newsletters on the Website; (4) Conversation in the form of chats; (5) Content and trading ideas available on the Platform; (6) Any other tools employed by the Website.

4. Declarations by the User

  1. The User shall not share his/her Access Credentials with any third person and shall exercise complete care in protecting and maintaining the confidentiality of his/her Access Credentials.
  2. The User agrees and confirms that the Company shall not be responsible for any transactions arising out of any misuse of his/her Access Credentials. The User shall adopt adequate security measures to prevent any unauthorised access to their Platform account, and the Company shall not be liable for any such unauthorised access.
  3. The User shall not hold liable the Company, its directors, officers, representatives and employees for any claim, suit, action, loss, damage, expense or any breach of law in this context, which he/she may incur as a result of his/her decision to invest in any products or services, based on our Publications, whether directly or through its partners.
  4. The User understands that returns on investments are not guaranteed and that he/she has gone/shall go through all investment related documents prior to making any investment decision, and should consult with financial advisor/(s), if required, before taking any decisions or actions based on any of the trading ideas, investment ideas, or live funds on the platform.
  5. The User understands that derivative trading is extremely risky in nature with the possibility of losing some or all of the capital invested.
  6. The Company shall make reasonable efforts to keep all the information relating to your dealings through your account on the Platform confidential. Provided however that the Company shall be entitled to disclose any information or particulars pertaining to you to any authority, statutory or otherwise, as may be required by law or by a third-party service provider required to complete any transactions requested by you. The User understands that the Company reserves the right to disclose your personal information to any regulatory authority such as, but not limited to, the SEBI, Reserve Bank of India ("RBI"), the Income Tax Department, if required under any law or if directed to do so by a court of competent jurisdiction.
  7. The User agrees that the data and information shared by them with the Company can be further shared with its authorised agents, representatives, affiliates, group companies and subsidiaries for facilitating transaction processing, servicing, data processing, transaction statement generation and for the handling and resolution of any queries received from them.
  8. The User understands that the Services and Publications provided by the Company are not in the nature of investment advice, as defined under the SEBI (Investment Advisers) Regulations, 2013.
  9. The User understands that the data and information provided on the Website does not constitute advice and shall not be relied upon by the User while making investment decisions. The User understands that they shall not make investment decisions based on the information contained on the Website without independently consulting with duly registered and qualified advisors and that, if the User chooses to engage in such transactions with or without seeking advice from a duly registered and qualified financial advisor, then such decision and any consequences flowing therefrom are his sole responsibility.
  10. User confirms that the Publication/(s) are prepared for persons who have experience in matters related to investments or are investment professionals with sufficient financial sophistication to be able to appraise and evaluate the information received or accessed, including, where appropriate, a full understanding of the credit risks inherent in new debt issues and the price volatility of stocks when brought to the market. The Publication/(s) may not be suitable for all investors.
  11. The User understands that while the views expressed in the Publication/(s) would generally be ours as of the date of the Publication/(s), some or all of the views contained therein may be based on the views of one or several of our sources. All opinions, estimates and projections provided by such sources or the author/(s) are as of the date of such Publication/(s) and are subject to change without notice and we have no obligation to update any views, opinion, estimates or projections set forth therein.
  12. The User understands that the Company shall not provide any promise or assurance of favourable review in its research report to a company or industry or sector or group of companies or business group as consideration to commence or influence a business relationship or for the receipt of compensation or other benefits.

5. User Conduct and Rules

You agree and undertake to use the Platforms only for the purposes that are permitted by the Terms and any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions. By way of example, and not as a limitation, you agree and undertake that while using our Services or accessing our Platforms, you will not:

  1. Host, display, upload, modify, publish, transmit, store, update or share any information that belongs to another person and to which you do not have any right;
  2. Upload files that infringe any patent, trademark, copyright or other proprietary rights;
  3. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others;
  4. Post, upload, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information;
  5. Download, copy or imitate any portion of Platform, its underlying software and content, or its user interface, or the Website, except as expressly permitted by us;
  6. Deceive or mislead the addressee about the origin of the message or knowingly and intentionally communicate any information which is patently false or misleading in nature but may reasonably be perceived as a fact;
  7. Access or attempt to access any of the Services by any means other than through the interface that is provided by the Company, except as expressly permitted by us, and shall ensure that you comply with the instructions set out in any robots.txt file present on the Services;
  8. Seek to transact any fraudulent or illegal activity, through any means or corrupt practices, including but not limited to hacking, password mining, deceptive impersonation of another person, misrepresentation of your affiliation with a person or entity, hiding or attempting to hide your true identity or location (including via proxy server or otherwise) or providing false, inaccurate or altered documentation, information or identification;
  9. Circumvent or seek to circumvent any security measures or other features meant to protect the security of the Website and the users' security;
  10. Upload files that contain software or other material protected by intellectual property laws unless you own or control the rights thereto or have received all necessary consents;
  11. Upload files that are patently false and untrue, and are written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person;
  12. Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of the Platforms;
  13. Violate any code of conduct or other guidelines, which may apply for or to the Services;
  14. Violate any applicable laws or regulations for the time being in force in India;
  15. Violate, abuse, unethically manipulate or exploit, any of the Terms.

6. Termination of Account or Services

You agree that the Company may at any time and for any or no reason, terminate your access to the Platforms, or restrict or suspend your access to all or any part of the Website or the Application at any time, with or without prior notice, and without liability. The Company reserves the right to cancel your rights to access the Platforms if it believes that you are using any of the Platforms in breach of these Terms.

7. Intellectual Property Rights

All materials on our Platforms, including, without limitation, names, logos, trademarks, images, text, columns, graphics, videos, photographs, illustrations, artwork, software and other elements (collectively, "Material") are protected by copyrights, trademarks and/or other intellectual property rights owned and controlled by the Company. You acknowledge and agree that all content on our Platforms is made available for limited, non-commercial, personal use only. You may not add, delete, distort, or otherwise modify the Material.

The Company is the sole owner of the Platforms and all software created to provide you with the Services. The Company provides you with a single limited license to download, use and access the Platforms on your devices for the limited purpose of using the Services. The license is specifically personal, non-transferable, non-licensable and non-exclusive.

8. Links to Third Parties

Platforms will contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of the Company, and the Company is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. If you decide to access any such linked third-party website, you do so at your own risk. The Company disclaims all responsibility and liability as regards the services, conduct or actions of such third party.

9. Force Majeure

The Company shall have no liability to you whatsoever for any interruption or delay in its Services, or to access the Platforms if such interruption, delay, or inability is caused by a force majeure event. A "Force Majeure Event" means any event or circumstance beyond the reasonable control of the Company including but not limited to an act of God, fire, explosion, flood, epidemic, power failure, governmental actions including acts of government officials or police authorities, war or threat of war, acts of terrorism, national emergency, riot, civil disturbance, sabotage, labour disputes, strikes, pandemic, epidemic, change in law or policies, court orders, cyber threats and cyber-attacks including those resulting from malware, trojans, ransomware, data breach, hacking, or malicious damage to the Platforms.

10. Indemnity

  1. You agree to indemnify, defend and hold harmless the Company, its service providers, its partners and their officers and agents from and against all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by the Company that arise out of or result from or maybe payable by virtue of any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you under these Terms.
  2. You agree that the Company, its service providers and their officers and agents are not liable for any loss caused through a fall in value of investments etc which can go up or down depending on the factors and forces affecting capital markets or any indirect, special or consequential loss you might suffer.
  3. You agree and undertake not to hold the Company and its service providers liable for the following: (1) for any loss or damage incurred or suffered by you due to any error or defect arising from or caused by any reason whatsoever; (2) for any fraud, negligence/mistake or misconduct by you; (3) for any breach or non-compliance by you of these Terms of Use.

11. Disclaimer of Warranties

  1. The Company shall not be liable for any, direct, indirect, punitive, incidental, special, consequential, damages including, without limitation, damages for loss of business projects, damage to your computer system, loss of profits, loss of data arising out of the use of the Platforms, delay or inability to use the Platforms, failure to provide the Services, or for any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communications line failure, theft or destruction or unauthorised access to, alteration of, or use of the information contained on the Platforms, shutting down of the whole or part of the Services that might result in any loss of information, non-retrieval or loss of data, or arising out of the inability to use any Services.
  2. No advice or information, whether oral or written, obtained by you from the Company or from the Services shall create any warranty not expressly stated in the terms.

12. General Investment Disclosure

  1. The content and data available on the Platform are for information and illustration purposes only. Charts and performance numbers are back-tested/simulated results calculated via a standard methodology and do not include the impact of transaction fees and other related costs. Data used for calculation of historical returns and other information is provided by exchange approved third party data vendors and has neither been audited nor validated by the Company. All information present on the Platform is to help investors in their decision-making process and shall not be considered as a recommendation or solicitation of an investment or investment strategy. The investors are responsible for their investment decisions and are responsible to validate all the information used to make the investment decision. Investors should understand that his/her investment decision is based on personal investment needs and risk tolerance and the performance information available on the Platform is one among many other things that should be considered while making an investment decision. Past performance does not guarantee future returns and performance of the strategies you pick are subject to market risk.
  2. Investments are subject to market risk. The User should refer to the offering documents or information memorandum and the specific risk factors before investing. Unless expressly stated, products mentioned in the Publication/(s) are not guaranteed by Company or its affiliates.
  3. Nothing in the Publication/(s) shall constitute an investment recommendation made by us nor is it intended to form the sole basis for any evaluation of the securities or any other instrument which may be discussed in it or any investment decision. Unless there is an explicit and recorded recognition on our part, in relation to a particular transaction, that investment advice is being offered on the basis of such Publication/(s), you acknowledge that any such investment decisions you make in relation to the Publication/(s), will not be treated as advised by us. Save as stated above, in every other circumstance, you acknowledge that you will assume responsibility for any investment decisions you make further to the information contained in the Publication/(s). Unless required by applicable laws and regulations (if any), neither us nor any of our directors, partners, or employees accepts any liability whatsoever for any losses arising from any use of or reliance upon the Publication/(s) or its contents, or for any omission.
  4. We believe the information contained in the Publication/(s) is reliable however, we make no representation as to the accuracy or completeness of information contained in such Publication/(s) which is stated to have been obtained from or is based upon trade and statistical services or other third-party sources. Any data on past performance, modelling or back-testing contained therein is no indication as to future performance. No representation is made as to the reasonableness of the assumptions made within or the accuracy or completeness of any modelling or back-testing. The value of any investment may fluctuate as a result of market changes. There can be no assurance or guarantee that any investment will achieve any particular return. Past performance is not necessarily an indicator of the future performance of any investment.

13. Modification

The Company reserves the right to modify, amend or waive any of the provisions of these Terms, from time to time entirely at its own discretion. You agree and understand that you are responsible for checking these Terms periodically to remain in compliance with these Terms. The Company will inform you, once in a year, regarding the updated and amended Terms of the Platforms. Your use of the Platforms after any amendment to the Terms shall constitute your acceptance of such amended Terms.

14. Entire Agreement

These Terms along with the Privacy Policy shall constitute the final, complete and exclusive statement of the agreement between the Company and the User with respect to the use of the Website and the Application.

15. Waiver and Severability

  • The failure of the Company to exercise any right as per these Terms shall not constitute a waiver of such right. Any express waiver or failure to exercise promptly any right under the Terms will not create a continuing waiver or any expectation of non-enforcement. No waiver of any breach of these Terms shall waive any other breach, and no waiver shall be effective unless made in writing.
  • If any provision of these Terms is held invalid by any court or tribunal in a final decision from which no appeal is or can be taken, such provision shall be deemed modified to eliminate the invalid element and, as so modified, such provision shall be deemed a part of these Terms. The remaining provisions of these Terms shall not be affected by such modification.

16. Governing Law and Venue

These Terms shall be governed by the laws of India. The courts of Mumbai shall have exclusive jurisdiction over any disputes arising under these Terms.

17. Grievance Officer

Any complaints, abuse or concerns with regards to content and or comment or breach of these Terms shall be immediately informed to the designated Grievance Officer or at the customer care e-mail as mentioned below in writing or through e-mail. The Company shall not be responsible for any communication, if addressed, to any non-designated person in this regard.

The Website www.hedgium.in and the Application Hedgium ("Platforms") are owned and operated by Hedgium Services LLP ("Company", "we", "us"), a limited liability partnership incorporated under the laws of India, having its registered office at Haware City, Thane; Powai, Mumbai; Seawoods, Navi Mumbai, India.

This privacy policy ("Privacy Policy") explains how we collect, use, share and protect personal information about the users of the Platforms ("you" or "User"). Any capitalized term used but not defined in this Privacy Policy shall have the meaning attributed to it in the Terms of Use.

A condition of each User's use and access to the Platforms is their acceptance of the Terms of Use, which also involves acceptance of the terms of this Privacy Policy. You agree to the practices and policies outlined in this Privacy Policy and you hereby consent to our collection, use and sharing of your information as described in this Privacy Policy.

1. Type of Personal or Sensitive Personal Information Collected

  1. While registering for an account on our Platforms, a User is required to provide personal information so that the Platforms can recognise him and provide the desired Services. The personal information required would include username, name, user ID, e-mail address, contact addresses, date of birth, gender, phone number and password chosen by the User. Other optional information may also be requested on the registration page. We recommend and require that you keep your user ID and password confidential. Further, we recommend that you change your password periodically. We shall not be responsible for any unauthorized access to your account if you share your user ID and Password with anyone or as a consequence of a violation of this Privacy Policy or the Website's Terms of Use.
  2. The information collected from you by the Company may constitute personal information or 'sensitive personal data or information' under the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011 ("SPI Rules"). The SPI Rules define "sensitive personal data or information" of a person. In the case of our Platform, it would mean personal information about a User relating to: (a) password; (b) financial information such as Bank account or credit card or debit card or other payment instrument details; (c) any detail relating to the above clauses as provided to the Company for providing Services; and (d) any of the information received under above clauses by the Company for processing, stored or processed under lawful contract or otherwise.
  3. Information that is freely available in the public domain or accessible under the Right to Information Act, 2005 or any other law will not be regarded as personal information or sensitive personal data or information. The collection of information which has been designated as 'sensitive personal data or information' under the SPI Rules requires your express consent. By affirming your assent to this Privacy Policy, you provide your consent to such collection as required under applicable law. Our Services may be unavailable to you in the event such consent is not given.
  4. Further, we collect personal information when you are using our financial planning tools or registering with us for setting up of an user account. This may include, inter alia, your PAN Card number and image, Aadhaar card number and image and relevant proofs of the same. This information is primarily collected for regulatory compliance with applicable laws in order to enable and/or activate your account and to enable you to conduct online transactions.
  5. This information will be stored with us and shared with select third parties such as our group companies, affiliate companies etc. in order to enable us to complete your registration as a client with us, generate and send reminders, alerts, notifications to you for transactions, upcoming funds transfers etc.

2. Information Collected via Technology

Due to the communications standards on the internet, when a User visits the Website, we automatically receive the URL of the site from which anyone visits. We also receive the Internet Protocol ("IP") address of each User's computer (or the proxy server a User used to access the World Wide Web), User's computer/ device operating system and type of web browser the User is using, email patterns, as well as the name of User's internet service provider. This information is used to analyse overall trends to help the Company improve its Service. The linkage between User's IP address and User's personally identifiable information may be available to us but is not shared with other third parties. The Platforms may use cookies to store certain data (that is not sensitive personal data or information) that is used by us for the technical administration of the Website, Application, research and development, and for User administration.

3. Purpose of Collection and Usage of Information

  1. The Platforms collect the information which is voluntarily provided by the User to create and personalise the User's account on the Platforms and enhance the quality of Services. You understand that the Company may use certain information of yours, which has been designated as 'sensitive personal data or information' under the SPI Rules: (a) for the purpose of providing you the Services, (b) for commercial purposes and in an aggregated or non-personally identifiable form for research, statistical analysis and business intelligence purposes, (c) for sale or transfer of such research, statistical or intelligence data in an aggregated or non-personally identifiable form to our advertisement, strategic and marketing partners. The Company also reserves the right to use information provided by or about the User for the following purposes: (1) Publishing such information on the Platforms; (2) Contacting the User for offering new services; (3) Contacting the User for taking feedback or for providing support; (4) Analysing software usage patterns for improving product design and utility; and (5) Analysing anonymized information for commercial use.
  2. Information other than the personal information or sensitive personal data or information, that does not personally identify the Users as an individual, is collected by the Company from Users (such as, patterns of utilization described above) and is exclusively owned by the Company. Such anonymized information may be used for research and development of new technologies and shared with the third parties for commercial use.
  3. The Platforms shall, prior to the collection of information including sensitive personal data or information, provide an option to the User to not to provide the data or information sought to be collected. The User shall, at any time while availing the services or otherwise, also have an option to withdraw its consent given earlier to the Platforms. In the case of the User not providing or later on withdrawing his consent, the Company and the Platforms shall have the option not to provide services for which the said information was sought.

4. Third Party Links

  1. This Privacy Policy applies to the Platforms that are owned and operated by the Company. We do not exercise control over the third-party sites or links that may be displayed or embedded within the Platforms. These other sites may place their own cookies or other files on the User's computer, collect data or solicit personal information from the Users, for which the Company is not responsible or liable. Accordingly, the Company does not make any representations concerning the privacy practices or policies of such third parties or terms of use of such websites.
  2. The Company does not guarantee the accuracy, integrity, or quality of the information, data, text, software, sound, photographs, graphics, videos, messages or other materials available on such websites. The inclusion or exclusion does not imply any endorsement by the Company of the website, the website's provider, or the information on the website. If you decide to visit a third-party website linked to the Website, you do this entirely at your own risk. The Company encourages the User to read the privacy policies of such third-party websites.
  3. Our Website and the Application may include social media buttons for Twitter, Instagram, Facebook, Tumblr etc. ("Features"). These Features may collect your IP address, which page you are visiting on our site, and may set a cookie to enable the Feature to function properly. Your interactions with these Features are governed by the privacy statement of the Company providing them.

5. Retention of Information

If you wish to cancel your account or request that we no longer use your information to provide you the Services, contact us through clients@hedgium.ai. We will retain your information for as long as your account on the Platforms is active and as needed to provide you the Services. We shall not retain such information for longer than is required for the purposes for which the information may lawfully be used or is otherwise required under any other law for the time being in force. After a period of time, your data may be anonymized and aggregated, and then may be held by us as long as necessary for us to provide our Services effectively or improve the Services, but our use of the anonymized data will be solely for analytic purposes.

6. Disclosure of Information

The Company will only disclose your personal information, other than as specifically stated in this Privacy Policy, in the event it is required to do so by law, rule, regulation, law enforcement agency, governmental official, legal authority or similar requirements or when the Company, in its sole discretion, deems it necessary in order to protect its rights or the rights of others or to enforce or apply the Terms of Use. The Company may also disclose or transfer User's personal and other information, to a third party as part of reorganization or a sale of the assets of a Company division or company. Any third party to which the Company transfers or sells its assets to will have the right to continue to use the personal and other information that Users provide to us, in accordance with the Terms of Use.

7. Limited Liability

The Company shall not be held liable for any loss whatsoever incurred by the User for any data loss or theft due to unauthorized access to the User's electronic devices through which the User avails the Services. The Company will implement reasonable security practices and procedures that are commensurate with respect to the information being collected and the nature of the Company's business. The Company is committed to protecting the security of your information. We use a variety of industry-standard security technologies and procedures to help protect your information from unauthorized access, use, or disclosure. However, no method of transmission over the Internet, or method of electronic storage, is completely secure. Therefore, while the Company uses reasonable efforts to protect your information, it cannot guarantee its absolute security.

8. Casual Visitors Note

No sensitive personal data or information is automatically collected by the Company from any casual visitors, who are merely perusing the Platforms. Nevertheless, certain provisions of this Privacy Policy are applicable to even such casual visitors, and such casual visitors are also required to read and understand the privacy statements set out herein, failing which they are required to leave the Website or Application immediately. You are not a casual visitor if you have willingly submitted any personal data or information to the Company through any means, including email, post or through the registration process on the Website or Application. All such visitors will be deemed to be, and will be treated as, Users for the purposes of this Privacy Policy, and in which case, all the statements in this Privacy Policy apply to such persons.

9. Confidentiality and Security

Your personal information is maintained by the Company in electronic form. Such information may also be converted to physical form from time to time. We take necessary precautions to protect your personal information both online and off-line, and implements reasonable security practices and measures including certain managerial, technical, operational and physical security control measures that are commensurate with respect to the information being collected and the nature of the Company's business. The Company is not responsible for the confidentiality, security or distribution of your personal information by third parties outside the scope of our agreement with them. Further, the Company shall not be responsible for any breach of security or for any actions of any third parties or events that are beyond the reasonable control of the Company including, acts of government, computer hacking, unauthorised access to computer data and storage device, computer crashes, breach of security and encryption, poor quality of internet service or telephone service of the User.

10. Changes to Privacy Policy

We reserve the right to change, modify, add or delete portions of the terms of this Privacy Policy, at our sole discretion, at any time, with or without advance notice. The Company will inform the Users regarding any change or amendment in the Terms via email or notice on the Website, once a year. If you object to any of the changes to our terms, and you no longer wish to use the Services, you may contact clients@hedgium.ai to deactivate your account. Unless stated otherwise, the Company's current Privacy Policy applies to all information that the Company has about you and your account. If a User uses the Platforms after a notice of changes has been sent to such User or published on the Platforms, such User hereby provides his consent to the changed terms. We permit the User, as and when requested by them, to review the information they had provided and ensure that any personal information or sensitive personal data or information found to be inaccurate or deficient shall be corrected or amended as feasible.

Refund / Cancellation Policy

We value transparency and fairness in all our client relationships. If a client decides to discontinue their services before the completion of the current billing cycle, they will be eligible for a pro-rata refund, apart from the quarters used and the ongoing quarter. In other words, the refund will be calculated based on the unused quarters of the service period.

Please note that any applicable taxes or statutory fees will be deducted from the refundable amount. Once approved, the eligible refund amount will be processed within 7–10 working days in accordance with our standard procedures. Our goal is to ensure a smooth and equitable process for all service terminations initiated by clients or us.

Grievance Redressal

Client's queries / complaints may arise due to lack of understanding or a deficiency of service experienced by clients. Deficiency of service may include lack of explanation, clarifications, understanding which escalates into shortfalls in the expected delivery standards, either due to inadequacy of facilities available or through the attitude of staff towards client.

  2. Clients can seek clarification to their query and are further entitled to make a complaint in writing. An email may be sent to the Client Servicing Team on clients@hedgium.ai.

  4. Clients can write to the research analyst at kamlesh.ramchandani@hedgium.in, if the Investor does not receive a response within 10 business days of writing to the Client Servicing Team. The client can expect a reply within 10 business days of approaching research analyst.
  5. In case you are not satisfied with our response you can lodge your grievance with SEBI at scores.sebi.gov.in or you may also write to any of the offices of SEBI. SCORES may be accessed through SCORES mobile application as well.
  6. ODR Portal could be accessed, if unsatisfied with the response. Your attention is drawn to the SEBI circular no. SEBI/HO/OIAE/OIAE_IAD-1/P/CIR/2023/131 dated July 31, 2023, on "Online Resolution of Disputes in the Indian Securities Market". A common Online Dispute Resolution Portal ("ODR Portal") which harnesses conciliation and online arbitration for resolution of disputes arising in the Indian Securities Market has been established. Most Important Terms and Conditions (MITC)

Research Analyst (RA) – SEBI Registration No. INH000025258

  1. Scope and trade execution

    These terms and conditions, and consent thereon are for the research services provided by the Research Analyst (RA) and RA cannot execute/carry out any trade (purchase/sell transaction) on behalf of the client. Thus, the clients are advised not to permit RA to execute any trade on their behalf.

  2. Fee limits

    The fee charged by RA to the client will be subject to the maximum amount prescribed by SEBI / Research Analyst Administration and Supervisory Body (RAASB) from time to time (applicable only for Individual and HUF Clients).

    Note:
    2.1. The current fee limit is Rs 1,51,000/- per annum per family of client for all research services of the RA.
    2.2. The fee limit does not include statutory charges.
    2.3. The fee limits do not apply to a non-individual client / accredited investor.

  3. Advance fees and refunds

    RA may charge fees in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is one year. In case of pre-mature termination of the RA services by either the client or the RA, the client shall be entitled to seek refund of proportionate fees only for the unexpired period.

  4. Payment methods

    Fees to RA may be paid by the client through any of the specified modes like cheque, online bank transfer, UPI, etc. Cash payment is not allowed. Optionally the client can make payments through Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited (i.e. currently recognized RAASB).

  5. Conflicts of interest

    The RA is required to abide by the applicable regulations/circulars/directions specified by SEBI and RAASB from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. The RA will endeavor to promptly inform the client of any conflict of interest that may affect the services being rendered to the client.

  6. Prohibited schemes

    Any assured/guaranteed/fixed returns schemes or any other schemes of similar nature are prohibited by law. No scheme of this nature shall be offered to the client by the RA.

  7. No guaranteed returns

    The RA cannot guarantee returns, profits, accuracy, or risk-free investments from the use of the RA's research services. All opinions, projections, estimates of the RA are based on the analysis of available data under certain assumptions as of the date of preparation/publication of the research report.

  8. Market risks and reliance

    Any investment made based on recommendations in research reports is subject to market risks, and recommendations do not provide any assurance of returns. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report. Any reliance placed on the research report provided by the RA shall be as per the client's own judgement and assessment of the conclusions contained in the research report.

  9. Certifications and registration

    The SEBI registration, Enlistment with RAASB, and NISM certification do not guarantee the performance of the RA or assure any returns to the client.

  10. Grievance redressal

    For any grievances, follow the steps below:

  11. Keep contact details updated

    Clients are required to keep contact details, including email id and mobile number/s updated with the RA at all times.

  12. Confidentiality & credentials

    The RA shall never ask for the client's login credentials and OTPs for the client's Trading Account, Demat Account, or Bank Account. Never share such information with anyone including RA.

  • To offer unbiased recommendation, disclosing the financial interests in recommended securities.
  • To provide research recommendation, based on analysis of publicly available information and known observations.
  • To conduct audit annually
  • To ensure that all advertisements are in adherence to the provisions of the Advertisement Code for Research Analysts.
  • To maintain records of interactions, with all clients including prospective clients (prior to onboarding), where any conversation related to the research services has taken place.

C. Details of services provided to investors (No Indicative Timelines)

  • Onboarding of Clients
    • Sharing of terms and conditions of research services
    • Completing KYC of fee paying clients
  • Disclosure to Clients:
    • To disclose, information that is material for the client to make an informed decision, including details of its business activity, disciplinary history, the terms and conditions of research services, details of associates, risks and conflicts of interest, if any
    • To disclose the extent of use of Artificial Intelligence tools in providing research services
    • To disclose, while distributing a third party research report, any material conflict of interest of such third party research provider or provide web address that directs a recipient to the relevant disclosures
    • To disclose any conflict of interest of the activities of providing research services with other activities of the research analyst.
  • To distribute research reports and recommendations to the clients without discrimination.
  • To maintain confidentiality w.r.t publication of the research report until made available in the public domain.
  • To respect data privacy rights of clients and take measures to protect unauthorized use of their confidential information
  • To disclose the timelines for the services provided by the research analyst to clients and ensure adherence to the said timelines
  • To provide clear guidance and adequate caution notice to clients when providing recommendations for dealing in complex and high-risk financial products/services
  • To treat all clients with honesty and integrity
  • To ensure confidentiality of information shared by clients unless such information is required to be provided in furtherance of discharging legal obligations or a client has provided specific consent to share such information.

D. Details of grievance redressal mechanism and how to access it

1. Investor can lodge complaint/grievance against Research Analyst in the following ways:

  • Mode of filing the complaint with research analyst: In case of any grievance / complaint, an investor may approach the concerned Research Analyst who shall strive to redress the grievance immediately, but not later than 21 days of the receipt of the grievance.
  • Mode of filing the complaint on SCORES or with Research Analyst Administration and Supervisory Body (RAASB):
    • i. SCORES 2.0 (a web based centralized grievance redressal system of SEBI for facilitating effective grievance redressal in time-bound manner) (https://scores.sebi.gov.in)
    • Two level review for complaint/grievance against Research Analyst:
      • First review done by designated body (RAASB)
      • Second review done by SEBI
    • ii. Email to designated email ID of RAASB

2. If the Investor is not satisfied with the resolution provided by the Market Participants, then the Investor has the option to file the complaint/ grievance on SMARTODR platform for its resolution through online conciliation or arbitration.

    Note: You may make payment of fees through Centralized Fee Collection Mechanism (CeFCoM) of RAASB if research analyst has opted for the mechanism. (Applicable for fee paying clients only)

  6. Before buying/ selling securities or applying in public offer, check for the research recommendation provided by your Research Analyst.
  7. Ask all relevant questions and clear your doubts with your Research Analyst before acting on recommendation.
  8. Seek clarifications and guidance on research recommendations from your Research Analyst, especially if it involves complex and high risk financial products and services.
  9. Always be aware that you have the right to stop availing the service of a Research Analyst as per the terms of service agreed between you and your Research Analyst.
  10. Always be aware that you have the right to provide feedback to your Research Analyst in respect of the services received.
  11. Always be aware that you will not be bound by any clause, prescribed by the research analyst, which is contravening any regulatory provisions.
  12. Inform SEBI about Research Analyst offering assured or guaranteed returns.

Don'ts

  1. Do not provide funds for investment to the Research Analyst.
  2. Don't fall prey to luring advertisements or market rumors.
  3. Do not get attracted to limited period discount or other incentive, gifts, etc. offered by Research Analyst.
  4. Do not share login credential and password of your trading, demat or bank accounts with the Research Analyst.
